These Terms and Conditions govern your use of the website at www.shopstyle.com and any other ShopStyle websites linking to these terms ("Website"), which are maintained solely as static informational pages in connection with the wind-down of those services.
YOU AGREE THAT YOU HAVE READ THESE TERMS AND CONDITIONS, UNDERSTAND THEM, AND AGREE TO BE BOUND BY ALL OF THEIR TERMS AND CONDITIONS. IF YOU DO NOT AGREE, DISCONTINUE USE OF THIS WEBSITE IMMEDIATELY.

We will endeavor to respond to and resolve disputes informally within 30 days of receipt of written notice. If a dispute is not resolved within 30 days, either party may bring a formal proceeding in accordance with Section 3.
3.1 You and ShopStyle agree to arbitrate any and all disputes, claims, or controversies arising out of, in connection with, or relating to these Terms and Conditions, ShopStyle's business, this Website, and your relationship with us, including any claims that may arise after the termination of these Terms. The agreement to arbitrate includes any claims against ShopStyle's employees, agents, or subsidiaries.
3.2 All disputes concerning the arbitrability of a claim shall be decided by the arbitrator. You agree that the U.S. Federal Arbitration Act and federal arbitration law shall govern the interpretation and enforcement of this agreement to arbitrate.
3.3 CLASS ACTION WAIVER: YOU AND SHOPSTYLE AGREE THAT EACH IS GIVING UP THE RIGHT TO A JURY TRIAL AND THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, REPRESENTATIVE PROCEEDING, CONSOLIDATED ACTION, OR PRIVATE ATTORNEY GENERAL ACTION. The arbitrator may not consolidate or join another person's claim with your claim or issue an order that would achieve the same result. If the Class Action Waiver is found to be unenforceable, it cannot be severed from this arbitration agreement and the entire provision compelling arbitration shall be null and void.
3.4 The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures or its Streamlined Arbitration Rules and Procedures, as applicable. The Rules are available at www.jamsadr.com. If your claim is for less than $10,000, ShopStyle will reimburse you for filing and arbitrator fees at the conclusion of the proceeding unless your claim is found to be frivolous. The exclusive venue for any dispute or issue arising out of these Terms that proceeds in court shall be San Francisco County, California.
3.5 Notwithstanding any provision in these Terms to the contrary, you may reject any future material change to this arbitration provision by sending written notice to ShopStyle Inc., 800 Concar Drive, Suite 175, San Mateo, CA 94402, Attn: ShopStyle Legal within thirty (30) calendar days of the change.
3.6 This arbitration provision is optional. You may opt out by sending written and signed notice to ShopStyle Inc., 800 Concar Drive, Suite 175, San Mateo, CA 94402, Attn: ShopStyle Legal within thirty (30) calendar days of accessing this Website for the first time.
3.7 Judgment upon any arbitration award may be entered in any court having jurisdiction.
You shall not, and shall not permit others to: (a) access this Website by expert system, electronic agent, "bot," spider, or other automated means; (b) systematically retrieve data from this Website to create or compile, directly or indirectly, in whole or in part, a collection, compilation, database, or directory without the express written permission of ShopStyle; (c) engage in any "screen scraping," "database scraping," or other activity the purpose of which is to obtain data or content from this Website in any manner or quantities not authorized by ShopStyle; or (d) take any action that imposes an unreasonable or disproportionately large load on this Website or its infrastructure.
All right, title, and interest in and to this Website and all ShopStyle trademarks, service marks, logos, and other brand elements belong exclusively to ShopStyle or their respective owners. You shall not use the name, branded terms, or trademarks of ShopStyle (or any variations or misspellings thereof) in any paid marketing, display URL, keyword bidding, meta tags, or other hidden text without prior express written consent. You shall not frame or utilize framing techniques to enclose any trademark, logo, or proprietary information of ShopStyle without prior express written consent.

The validity, construction, and interpretation of these Terms and the relationship between you and ShopStyle will be governed by the laws of the State of California without regard to its conflict of law provisions. The exclusive venue for any dispute or issue arising out of these Terms that proceeds in court shall be San Francisco County, California. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect. The failure of either party to exercise any right provided herein shall not be deemed a waiver of any further rights. Headings are included for convenience only and have no legal effect.
